Terms of Service

1. Acceptance of Terms

By accessing or using the CLARO platform ("Service") operated by CLAROEdu, Inc. ("CLARO," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you are using CLARO on behalf of a school or district, you represent that you have the authority to bind that institution to these terms.

2. Description of Service

CLARO is a cognitive learning assessment platform that facilitates Socratic dialogue between students and a character called Chispa. The platform generates DialogIQ™ assessments measuring cognitive depth and provides teachers with real-time data on student reasoning.

3. Eligibility and Account Registration

CLARO is intended for use by licensed teachers, school administrators, and their students in PPK–12 educational settings. Teachers must be at least 18 years of age to create an account. Student accounts are created and managed by teachers; students do not register independently.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Permitted Use

You may use CLARO solely for lawful educational purposes. You agree not to:

• Use the Service to collect or process student data for purposes other than education
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Share access credentials with unauthorized users
• Use the Service in a manner that violates FERPA, COPPA, or any applicable law
• Introduce malicious code or attempt to disrupt the Service

5. Intellectual Property

All content, technology, and intellectual property comprising the CLARO platform — including the DialogIQ™ assessment methodology, Chispa character, cognitive state framework, and 360° ROI Framework — are owned by CLAROEdu, Inc. and protected by applicable intellectual property laws.

Student dialogue data and teacher-created content (class names, text assignments, custom passages) remain the property of the school or district. CLARO is granted a limited license to process this data solely to provide the Service.

6. Subscription and Payment

CLARO offers trial and licensed subscription tiers. Trial accounts are limited to 5 classes and 5 students per class. Licensed accounts are activated via a district-issued license key. Pricing and licensing terms are established through direct agreement with CLAROEdu, Inc. and are not published on this website.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CLARO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. AUTOMATED ASSESSMENTS ARE TOOLS TO SUPPORT TEACHER JUDGMENT AND SHOULD NOT BE USED AS THE SOLE BASIS FOR EDUCATIONAL DECISIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAROEDDU, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease and we will delete or return student data in accordance with our Privacy Policy and any applicable data processing agreements.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the platform. Continued use of the Service after the effective date of changes constitutes acceptance.
